Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Kyosho — the desktop application, website, and related services (the “Service”), operated by Abhishek Singla, Brauhausstraße 9, 13086 Berlin, Germany (VAT ID DE449964422) (“Kyosho”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Kyosho is an AI sales assistant and coach. It records your sales calls on your device (audio is processed into a transcript and not stored), connects to your CRM and calendar to organise your pipeline, and generates summaries, coaching, and follow-up tasks. We may update, improve, or change features of the Service over time.

2. Accounts

You must provide accurate information when creating an account and are responsible for activity under your account and for keeping your credentials secure. You must be at least 18 and use the Service for business purposes. If you connect a CRM or calendar, you confirm you are authorised to do so and to share that data with Kyosho.

3. Subscriptions, trials, and billing

• Payments & billing. Kyosho is the seller of record. Payments are securely processed by Stripe; we do not receive or store your full card details. Prices are exclusive of any applicable taxes (e.g. VAT), which are calculated and added at checkout where required.
• Free trial. Paid plans include a 14-day free trial that requires a valid payment method. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged.
• Renewal. Subscriptions renew automatically each billing period until cancelled.
• Cancellation. You can cancel at any time from the in-app billing portal; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Team plans. Team plans are billed per seat. Changes to seats may adjust your charges accordingly.

4. Your content and data

You retain all rights to your data — your CRM data, calendar data, transcripts, and notes (“Your Content”). You grant us a limited licence to host, process, and analyse Your Content solely to provide the Service to you. We do not sell Your Content and do not use it to train third-party AI models. Our handling of personal data is described in our Privacy Policy.

5. Acceptable use

You agree not to misuse the Service, including by: recording any person without obtaining consent where required by applicable law; violating others’ rights; attempting to disrupt, reverse-engineer, or gain unauthorised access to the Service; or using it for any unlawful purpose. You are responsible for complying with recording and notice laws in your jurisdiction.

6. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Kyosho and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

7. Third-party services

The Service integrates with third parties such as HubSpot, Google, and others. Your use of those services is governed by their own terms, and we are not responsible for them.

8. Disclaimers

The Service is provided “as is” and “as available”. AI-generated summaries, coaching, and tasks may contain errors and should be reviewed before you rely on them. To the extent permitted by law, we disclaim warranties not expressly stated in these Terms.

9. Limitation of liability

To the maximum extent permitted by applicable law, Kyosho shall not be liable for indirect, incidental, or consequential damages, and our total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under German law, including for intent or gross negligence or for injury to life, body, or health.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ends and we will delete your data as described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date above and, for material changes, notify you in the app or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of your country of residence remain unaffected.
